The Uniform Almond Export Contract
Fisher Nut Company has recently commissioned a new standard
form contract, specifically for the sale of almonds
from California.
In
the past, contracts of this type have generally been
on DFA Terms, Waren-Verein conditions of business, or
the
seller’s own standard terms. The Inco terms and Vienna
Convention on International Sale of Goods also often feature.
While such contracts have in past served the market well,
they were not specifically drawn up for the almonds market
and do not address all of the issues which commonly arise
in the industry today. A further complication is the recent
changes in European legislation and business practice regarding
the risk of aflatoxin in almonds. The contract terms used
in the past do not discuss the parties’ obligations
in this regard. Also, recent volatile market prices and
long chains of buyers and sellers have drawn attention
to the fact that often the parties to these types of contracts
do not fully understand their obligations. The time for
presentation of documents has particularly been the subject
of much debate, and has given rise to arbitrations which
could have been avoided had the contracts specifically
considered this issue.
Therefore,
we are pleased to inform you that Fisher Nut Company
will now contract on the Uniform Almond Export
Contract 2007. This is based on the DFA Terms 2003, but
with additions and modifications which are aimed to reduce
the risk of disputes. We have endeavored in drafting
these terms to make them balanced, respecting the position
of
both buyer and seller so far as practicable. To print

Contract 2007, unless otherwise agreed in writing.
